1.The Service
Quarkad provides software tools that help businesses, agencies, and marketing teams monitor performance, connect data sources, review changes, receive alerts, and understand potential issues in their marketing and business workflows.
The Service may include dashboards, integrations, monitoring tools, reports, alerts, diagnostic insights, and related features.
Quarkad provides informational and diagnostic tools only. We do not guarantee that every issue will be detected, that every insight will be complete or accurate, or that using the Service will improve business results.
2.Accounts
You may need an account to use some or all parts of the Service.
You agree to provide accurate information and to keep your login credentials secure.
You are responsible for all activity that occurs under your account, workspace, or connected services.
You must notify us if you believe your account has been compromised or used without authorization.
3.Workspaces and Authorized Use
Quarkad may allow you to create workspaces, invite team members, connect data sources, and manage business or client-related data.
If you use Quarkad on behalf of a company, client, agency, or other organization, you represent that you have the authority to do so.
You are responsible for ensuring that you have all necessary rights, permissions, and lawful basis to connect accounts, process data, invite users, and use the Service on behalf of any organization or client.
4.Customer Data
“Customer Data” means data, content, information, or materials that you submit, connect, upload, transmit, or otherwise make available to Quarkad through the Service.
You retain ownership of your Customer Data.
You grant Quarkad a limited right to access, process, transmit, store, and use Customer Data only as needed to provide, secure, maintain, support, and improve the Service, and as otherwise described in our Privacy Policy.
We do not sell Customer Data.
You are responsible for the accuracy, quality, legality, and permissions related to your Customer Data.
5.Data Sources and Third-Party Services
Quarkad may allow you to connect third-party platforms, accounts, tools, or services (“Third-Party Services”).
By connecting a Third-Party Service, you authorize Quarkad to access and process information from that service as needed to provide the requested features.
Your use of Third-Party Services is governed by their own terms, policies, permissions, and platform rules.
Quarkad is not responsible for Third-Party Services, including their availability, security, accuracy, API changes, data delays, pricing, account restrictions, permissions, or outages.
You are responsible for complying with all applicable Third-Party Service terms and for maintaining the required access, permissions, and accounts.
6.Use of the Service
You agree not to:
- Use the Service for unlawful, harmful, abusive, fraudulent, or deceptive purposes.
- Access or process data without proper authorization.
- Violate applicable laws or third-party platform terms.
- Interfere with, disrupt, overload, or attempt to compromise the Service.
- Attempt to reverse engineer, scrape, copy, or extract non-public parts of the Service.
- Upload malware, harmful code, or malicious content.
- Misrepresent your identity, authority, or permissions.
- Use the Service in a way that could harm Quarkad, its users, or third parties.
We may suspend or restrict access to the Service if we believe your use violates these Terms or creates legal, security, operational, or reputational risk.
7.Quarkad Intellectual Property
Quarkad and its licensors own all rights, title, and interest in the Service, including software, design, features, workflows, interfaces, documentation, branding, and related intellectual property.
These Terms do not transfer ownership of the Service to you.
Subject to your compliance with these Terms, Quarkad grants you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes.
You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service unless we give you written permission.
8.Feedback
If you provide feedback, suggestions, ideas, or recommendations about Quarkad, you grant us the right to use them without restriction or compensation.
We may use feedback to improve, modify, or develop the Service.
9.Usage Data
Quarkad may collect and use usage, performance, diagnostic, and technical data related to the operation and use of the Service.
We may use aggregated or de-identified data to operate, analyze, improve, and develop the Service.
We do not use Customer Data in a way that identifies you or your clients except as needed to provide the Service or as described in our Privacy Policy.
Use of data received from third-party platforms, including Google APIs, is also governed by our Privacy Policy.
10.Beta and Experimental Features
Quarkad may offer beta, experimental, preview, or early-access features.
These features may be incomplete, unstable, inaccurate, changed, or removed at any time.
Beta features are provided for testing and evaluation and may not be suitable for production use.
11.Insights, Alerts, and Recommendations
Quarkad may provide alerts, reports, explanations, diagnostic insights, or suggested next steps.
These outputs are based on available data and may be incomplete, delayed, or inaccurate.
You are responsible for reviewing and validating any output before making business, marketing, technical, financial, operational, or strategic decisions.
Quarkad is not responsible for decisions you make based on the Service.
12.Fees and Payment
Some features may require a paid plan.
If paid plans are offered, pricing, billing terms, renewal terms, cancellation terms, and payment terms will be presented in the Service, in an order form, or at checkout.
Unless required by law or stated otherwise, payments are non-refundable.
We may change pricing or plans in the future, but changes will not apply retroactively unless stated or agreed.
13.Availability and Changes
We aim to provide a reliable Service, but we do not guarantee uninterrupted access or error-free operation.
The Service may be affected by maintenance, hosting issues, DNS issues, third-party services, API changes, platform limitations, data delays, security events, or other factors outside our control.
We may modify, suspend, or discontinue parts of the Service at any time.
14.No Professional Advice
Quarkad provides software, diagnostic, and informational tools.
The Service does not provide legal, financial, advertising, marketing, accounting, security, or other professional advice.
You are responsible for your own decisions, campaigns, budgets, websites, systems, operations, and business actions.
15.Privacy
Your use of Quarkad is also governed by our Privacy Policy.
16.Confidentiality
In connection with the Service, either party may receive non-public information from the other party.
Each party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the Service.
Confidential information does not include information that is publicly available, already known without restriction, independently developed, or lawfully received from another source.
17.Suspension and Termination
You may stop using Quarkad at any time.
We may suspend or terminate your access to the Service if:
- You violate these Terms.
- You misuse the Service.
- You create legal, security, operational, or reputational risk.
- You fail to pay required fees.
- We are required to do so by law or by a third-party platform.
Upon termination, your right to use the Service will stop.
Some data may be retained as described in our Privacy Policy or as required by law.
18.Disclaimers
The Service is provided “as is” and “as available.”
To the maximum extent permitted by law, Quarkad disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and uninterrupted availability.
We do not warrant that the Service will meet your requirements, operate without interruption, detect every issue, provide complete or accurate insights, or be compatible with every third-party service.
19.Limitation of Liability
To the maximum extent permitted by law, Quarkad will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost campaigns, loss of goodwill, or business interruption.
To the maximum extent permitted by law, Quarkad’s total liability for any claim related to the Service will not exceed the amount you paid to Quarkad in the three months before the event giving rise to the claim, or 100 USD if no amount was paid.
20.Indemnification
You agree to defend, indemnify, and hold harmless Quarkad from claims, damages, liabilities, losses, and expenses arising from:
- Your use of the Service.
- Your Customer Data.
- Your connected accounts or Third-Party Services.
- Your violation of these Terms.
- Your violation of applicable law.
- Your violation of third-party rights or platform terms.
- Your unauthorized use of client, company, or third-party data.
21.Changes to These Terms
We may update these Terms from time to time.
If we make material changes, we may notify users through the Service, by email, or by updating the “Last updated” date.
Your continued use of Quarkad after changes become effective means you accept the updated Terms.
22.Governing Law
These Terms are governed by the laws of Israel, unless otherwise required by applicable law.
